​1. SERVICE

​​

a) This dating service offers eligible single adults an opportunity to meet through personalized, tailor-made services designed to provide one-on-one introductions. These are based on personal consultations to identify individual qualities, values, preferences, requirements, background, lifestyle, hobbies, and other relevant criteria. The Service includes pre-screening, searching, and recommending suitable matches; arranging dates with the consent of both parties; follow-up services to collect feedback and understand the individual’s experience with the matched date; as well as date coaching, dating advice, and other value-added services aimed at increasing the success rate of matches and improving the quality of dates, as applicable, along with any other services ES2 may provide from time to time (“Service”).

b) ES2 Love Consultancy Limited (“ES2”) provides the Service to you under these terms and conditions (the “Terms”).

​

c) The Service is provided solely for your personal use and benefit.

 

d) All fees paid to ES2 are non-refundable and non-transferable.

2. ​TERMS, GUIDELINES, RULES AND AGREEMENT

 

You acknowledge and agree:

​

a) to fully comply with these Terms;

 

b) to accept and comply with any guidelines, rules and instructions related to the Service as communicated by ES2 from time to time (including by email);

 

c) all such guidelines, rules, and instructions are incorporated into and form part of these Terms.

3. ​ELIGIBILITY

​

By using the Service, you represent and warrant that you are at least 18 years old and single, where:

​

a) “single” means you are unmarried, widowed or divorced; and

 

b)  A person is deemed divorced only upon issuance of a final court order (or equivalent) dissolving the marriage.

​

4. ​SUBMISSION OF DOCUMENTATION

​

ES2 will only arrange a date for you once you have submitted the following documents to its satisfaction:

​

a) copy of your passport or identification card;

 

b) copies of educational and membership certificate (if any);

​

c) a copy of your divorce certificate or spouse's death certificate (if applicable); and

​

d) completed ES2 forms and any other required documentation.​​

5. ​ACCURATE, CURRENT AND COMPLETE INFORMATION

​

a) To use of the Service, you agree to:

​

i) provide true, accurate, current, and complete information about yourself as required by ES2;

 

ii) promptly update your information to ensure it remains true, accurate, current, and complete at all times.

 

b) If you provide any information that is false, inaccurate, outdated, or incomplete, ES2 reserves the right to terminate your access to the Service and refuse any current or future use without compensation or refund.

c) ES2 may conduct any number of background or marital status checks during the course of the Service, and you consent to such checks and agree to execute any documents ES2 requests for this purpose.

6. ​CONDUCT

​

You agree:

​

a) that you are solely responsible for your conduct and the information you provide to ES2 or any other user of the Service;

 

b) not to transmit any defamatory, inaccurate, abusive, obscene, profane, sexually explicit, threatening, harassing, racially or religiously offensive, illegal, or rights-infringing material;

​

c) to use the Service in compliance with all applicable laws and regulations;

​​

​

7. USE OF SERVICE

​

a) ES2 will communicate with you via telephone, chat messaging, or email to coordinate the scheduling of your dates. In cases of emergencies or urgent situations, you are required to promptly notify ES2 by phone. Such urgent matters include, but are not limited to, arriving late for a date, feeling unwell, or needing to reschedule within 48 hours prior to the scheduled date.

​

b) You are permitted to reject up to half of the total proposed dates included in your package (if applicable). Once this limit has been reached, ES2 may, at its sole and absolute discretion, treat each additional cancellation or rejection as one (1) fulfilled date, which will be deducted from the remaining dates in your package.

 

c) ES2 provides the Service based on the dating preferences you have indicated on your registration form and as discussed during your initial meeting with an ES2 representative.

 

d) After determining your availability, ES2 will proceed to arrange dates. A date is deemed confirmed once ES2 sends a confirmation email to the email address you provided. You are required to reply to the confirmation via email or chat messaging. Should ES2 not receive your confirmation, it reserves the right to cancel or reschedule the date without prior notice.

 

e) If you wish to cancel a confirmed date, you must provide ES2 with at least 48 hours’ prior written notice. Failure to do so will result in forfeiture of the date, which will be counted as a completed date and deducted from your package.

 

f) Should you reschedule a confirmed date three (3) times or more, ES2 reserves the right to treat it as a completed date and deduct it from your package even if the date has not taken place.

 

g) If you fail to attend any confirmed date (i.e., where ES2 has sent you a confirmation email or chat message) without providing at least 48 hours’ prior written notice, ES2 reserves the right to forfeit the entire fee without refund or obligation to provide further services.

 

h) It is your responsibility to promptly provide feedback to ES2 after every date. ES2 reserves the right to discontinue arranging future matches or dates if you fail to provide feedback, with no compensation or refund.

8. TERMINATION OF SERVICE

​

a) You agree that ES2 may terminate your use of the Service at its sole discretion if it believes you have breached or acted inconsistently with these Terms.

​

b) You agree that any termination of your use of the Service shall take effect upon notice, and ES2 may deactivate or delete your profile immediately. Fees are non-refundable and non-transferable.

​

c) Termination of your use of Services or these Terms does not affect any provisions that are intended to survive termination.

​

​

9. INTERACTIONS

​

You are solely responsible for your interactions with ES2 and its clients.

​​

​

10. DISCLAIMER OF LIABILITY

​

a) ES2 shall not be held liable for any conduct or information provided by other clients or users of the Service. ES2 is also not responsible for any loss, damage, or injury you or any other person may suffer arising out of or in connection with your use of the Service or any act or omission (including negligence) by ES2 or its personnel. You expressly acknowledge and agree that you assume all risk and responsibility for any such loss or damage.

 

b) To the greatest extent permitted by applicable law:​

 

i) ES2 and its directors, officers, employees, personnel, and representatives disclaim any liability to you or any third party for any direct, indirect, consequential, special, or punitive damages, including loss of profits or data, arising out of or relating to the Services, these Terms, or any acts or omissions by ES2 or its personnel;

 

ii) ES2 disclaims any and all liability for any acts or omissions of other ES2 clients or users of the Service; and

 

iii) in any event, the total aggregate liability of ES2 (including its directors, officers, employees, personnel and representatives) arising out of or relating to the Services, these Terms, or any act or omission, shall be limited to the sum of HK$20 (Twenty Hong Kong Dollars) in total.

11. DISCLAIMER OF WARRANTIES

​

You acknowledge and agree that:

​

a) ES2 makes no warranty that the Service will:

​

i) meet your specific requirements and/or expectations; or

​

ii) result in a successful match, relationship or marriage between you and any introduced party;

​

b) Any advice, suggestions, or information provided by ES2, whether verbal or written, shall not be construed as creating any express or implied warranty;

​

c) ES2 does not warrant or guarantee that every client has met the minimum age requirement or is single, and ES2 assumes no responsibility or liability for any content transmitted through the Service or for any access by persons below the age of 18 or those otherwise breaching their agreement with ES2;

​

d) There remain inherent risks that personal information you provide may be obtained by third parties through your use of the Service, and such third parties may misuse that information to harass, harm, or injure you. While ES2 will take reasonable measures to protect the confidentiality of all personal and membership data, ES2 shall not be held liable for any use or disclosure of your confidential information that occurs by mistake, through legal compulsion, or otherwise beyond ES2’s control;

e) It is your sole responsibility to prudently manage and control the type and extent of personal information you disclose or release to ES2, other clients, users of the Service, or any other individuals.

12. CONFIDENTIALITY AND PRIVACY

​

a) ES2 commits not to disclose any personal information about you without your explicit prior written consent, except as required to deliver the Service or to conduct background or marital verification checks necessary for Service provision.

 

b) ES2 will only share with your matched date a general description and relevant information about you prior to the date. No contact details or photographs will be disclosed to your matched date without your specific consent. Any information you provide to ES2 that is not intended for sharing with other clients or users will be securely maintained as confidential.

c) Your communications or interactions with other clients or Service users will be kept strictly confidential, except with your explicit prior written permission or where required by law, government authorities, regulators, or court orders.

​13. INDEMNITY

​

You agree to defend, indemnify, and hold harmless ES2, including its directors, officers, employees, personnel, and representatives, from and against any and all losses, damages, costs, liabilities, and expenses (including legal and professional fees) arising out of or related to your use of the Service. This includes, but is not limited to, losses resulting from:

​

a) Your breach of any provision of these Terms; 

 

b) Any claim alleging that any material you submit to ES2 infringes the rights of any third party or is false, misleading, or incomplete;

 

c) Any actions or omissions committed by you in connection with the Service or these Terms;

 

d) Your interactions with any other ES2 client or user of the Service, including dates arranged on your behalf by ES2.

14. NOTICES

 

Notices from ES2 to you may be communicated via email or chat messaging and may include notifications about changes to these Terms, modifications or termination of the Service, or any other matters that ES2 considers necessary or appropriate.

15. MODIFICATIONS

​

a) ES2 may modify these Terms periodically by either posting the updated versions on its website or by notifying you directly.

 

b) Your continued use of the Service following the posting of modifications on ES2’s website or after being notified shall be deemed your acceptance of such changes.

​

c) Apart from the methods described in this Section 15, any other modifications or amendments to these Terms must be made in writing and signed by both you and ES2.

16. GENERAL PROVISIONS

​

a) These Terms constitute the entire and exclusive agreement between you and ES2 in respect of your use of the Service, superseding any previous agreements, understandings, or communications, whether written or oral, related to the subject matter.

​

b) Failure or delay by ES2 in exercising or enforcing any right, power, or remedy under these Terms shall not be construed as a waiver of that right or remedy.

​

c) ES2 may, at any time and without prior notice to you, offset any amounts you owe to ES2 against any amounts ES2 owes to you, regardless of whether such liabilities are current or future, fixed or contingent, or whether they arise under these Terms. The exercise of this right by ES2 shall not restrict or impact any other rights or remedies it may have under these Terms. You agree to pay all sums owed to ES2 in full, without any right to set-off, counterclaim, deduction, or withholding.

d) If any term or provision of these Terms becomes invalid, illegal, or unenforceable for any reason, such term shall be severed or modified to the minimum extent necessary without affecting the validity, legality, and enforceability of the remaining provisions.

 

e) You agree, at your sole cost, to promptly execute all necessary documents and undertake any actions required by ES2 to give full effect to these Terms and ensure proper performance of the agreement.

f) Except as expressly provided herein, no person other than you and ES2 shall have any rights to enforce any provision of these Terms. The rights of each party to amend or rescind these Terms are not subject to the consent of any other person.

17. GOVERNING LAW AND JURISDICTION

​

a) These Terms, including all matters concerning the provision of the Service by ES2 to you and any disputes, claims, or controversies (whether contractual or non-contractual) arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

 

b) Both you and ES2 irrevocably agree that the courts of Hong Kong shall have exclusive jurisdiction to adjudicate any dispute, controversy, or legal proceeding arising out of or in connection with these Terms, including non-contractual disputes or claims.
